Terms of Service

1. Who May Use the Services

You must be 13 years of age or older and not otherwise barred from using the Services under applicable law. Minors under the age of majority in their jurisdiction but that are at least 13 years of age are only permitted to use the Services if the minor's parent or guardian accepts these Terms on the minor's behalf prior to use of the Services. Children under the age of 13 are not permitted to use the Services.

2. User Accounts, Subscriptions

2.1 Creating and Safeguarding your Account.

To use certain of the Services, you need to create an account ("Account"). You agree to provide us with accurate, complete and updated information for your Account. You are solely responsible for any activity that occurs in your Account and for maintaining the confidentiality of your password. You agree not to create an Account using false or misleading information or on behalf of someone other than yourself.

2.2 Subscriptions.

We may offer certain Services on a subscription basis. By subscribing, you agree to pay the specified fees, which will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Your Subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it. You may cancel your Subscription renewal either through your online account management page or by contacting our support team. A valid payment method is required to process the payment for your Subscription. All fees are non-refundable except as required by law or as explicitly stated in our refund policy.

3. User Content and AI Output

3.1 User Input and User Output.

As part of your use of the Services, you may be able to input, post, upload and submit information ("User Input") to the Services, and you may direct the Services to generate and output new content based on your User Input ("User Output"). We do not claim any ownership rights in your User Input or User Output. As between us and you, to the extent we acquire any rights in any User Output, we hereby assign to you all right, title and interest in and to such User Output. However, you acknowledge that due to the nature of generative AI tools, your User Output may not be unique and other users of the Services may create their own User Output that is similar or the same as your User Output.

3.2 Responsibility for Content.

Your User Input and User Output are collectively referred to as "Your Content." You are responsible for Your Content, including taking all steps necessary to ensure that it does not violate any laws, infringe on third-party rights, or breach these Terms.

4. Prohibited Conduct

You agree to use the Services only for lawful purposes. You agree not to, and will not assist, encourage, or enable others to:

• Use the Services for any fraudulent, illegal, or abusive purpose.
• Upload, transmit, or make available any content that is defamatory, obscene, hateful, or otherwise objectionable.
• Attempt to decompile, reverse engineer, or otherwise attempt to obtain the source code of the Services.
• Interfere with or disrupt the integrity or performance of the Services.
• Use any automated means to access the Services for any purpose without our express written permission.

5. Our Intellectual Property

The Services, including its software, applications, text, graphics, logos, and all other intellectual property, are the exclusive property of ReelRapid and its licensors. Except as explicitly stated herein, nothing in these Terms shall be construed as conferring any license to our intellectual property rights, whether by estoppel, implication, or otherwise.

6. Termination

We may terminate or suspend your Account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including, but not limited to, a breach of these Terms. If you wish to terminate your Account, you may simply discontinue using the Services or delete your account through the account settings.

7. Disclaimer of Warranties

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. REELRAPID EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REELRAPID, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

9. Indemnification

You agree to defend, indemnify, and hold harmless ReelRapid and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the Service, or from or in connection with Your Content.

10. Dispute Resolution, Arbitration, and Class Action Waiver

10.1 Arbitration.

BY AGREEING TO THESE TERMS, YOU AGREE TO RESOLVE ALL DISPUTES (WITH LIMITED EXCEPTION) RELATED TO THE SERVICES THROUGH BINDING INDIVIDUAL ARBITRATION, WHICH MEANS THAT YOU WAIVE ANY RIGHT TO HAVE THOSE DISPUTES DECIDED BY A JUDGE OR JURY.

10.2 Class Action Waiver.

YOU AGREE TO WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS. ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION.

10.3 Opt-Out.

You have the right to opt-out of the arbitration clause and the class action waiver by sending written notice of your decision to opt-out to the contact information below within 30 days of first accepting these Terms.

11. General Provisions

11.1 California Residents.

If you are a California resident, in accordance with Cal. Civ. Code § 1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112 Sacramento, CA 95834, or by telephone at (800) 952-5210.

11.2 Export Laws.

You agree that you will not export or re-export, directly or indirectly, the Services and/or other information or materials provided by us hereunder, to any country for which the United States or any other relevant jurisdiction requires any export license or other governmental approval at the time of export without first obtaining such license or approval.

11.3 Miscellaneous.

These Terms constitute the entire agreement between you and ReelRapid concerning the Services. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws rules.
